All offers,
deliveries and services are based on the following business conditions. Changes
have to be confirmed by us in writing, otherwise our business conditions are
considered as agreed, when an order is placed. This applies even if we do not
explicitly object to other possible conditions from the customer. In any matter
beyond our reasonable control, and in cases of force majeure, we do not regard
ourselv as liable to perform our obligations.
All offers
are open and non-binding. Special offers are binding from 30 calendar days from
the day of the offer. For special products, manufactured at the customer's
request, we consider the following tolerance amounts as agreed 2-9 pieces = 1 piece, 10-20 pieces =
2 pieces, up to 100 pieces = 10 % of the ordered amount.
The prices
are in Euro (€), plus VAT, ex factory, packing excluded. We consider the
minimum order as 100 €. For orders under the minimum, we charge an
administrative flate rate of 10 €. Deliveries are executed at the receiver's
risk either with statutory shipment or by what we consider the most convenient
way of shipment.
Our
invoices are payable within 30 days net, unless otherwise agreed.
This
warranty covers verifiable defects in workmanship and material. Unless
otherwise agreed, the time limit is in accordance with the law. This warranty
does not cover defects due to misuse or abuse, improper installation or
commissioning by the costumer or a third part, unusual wear and tear, improper
or careless treatment, improper modifications and modifications carried out
without approval by the manufacturer as well as maintenance by the customer or
a third part. Apparent damages have to be claimed by the customer in writing on
immediate receipt of the merchandise at its destination. Hidden damages must be
claimed in writing immediately after discovery and no later than months after
the transfer of risk. If the warranty claim proves to be justified and is received within the
prescribed time limit, the manufacturer is obliged to either repair or replace
the damaged product with a product in perfect working order. Further claims and
liablities are expressly excluded.
All
deliveries take place under reservation of the proprietary rights. The property
rights pass first to the buyer when all commitments towards the manufacturer
are paid.
The
place of execution for delivery and payments is D-98587 Steinbach-Hallenberg.
The place of jurisdiction for all upcoming legal issues is the court which is
responsible for 98587 Steinbach-Hallenberg.
These
business conditions conform among others to the terms of the working committee
for the supplying industry, regarding the composition of contracts for fair
delivery relations. These terms where published as public notice No. 151/99 of
the Federal Cartel Office in the Bundesanzeiger Nr. 245.
